Welcome, and thank you for your interest in PP API (we," "us," or "our") and our API aggregation platform available at PP API (the "Site"), along with our related services (collectively, our "Service"). These Terms of Service are a legally binding contract between you or the entity you represent ("you") and us regarding your use of the Service.
PLEASE READ THE FOLLOWING TERMS CAREFULLY. BY CREATING AN ACCOUNT, OR BY ACCESSING OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS, INCLUDING OUR PRIVACY POLICY (TOGETHER, THE "TERMS").
If you are not eligible, or do not agree to the Terms, then you do not have our permission to use the Service.
These Terms provide that all disputes between you and us will be resolved by BINDING ARBITRATION. You agree to give up your right to go to court to assert or defend your rights under this contract. Your rights will be determined by a NEUTRAL ARBITRATOR and not a judge or jury. Please review Section 13 ("Dispute Resolution") for details.
1. Service Overview
Our Service provides a unified Application Programming Interface (API) that allows users to access a variety of third-party generative artificial intelligence models ("AI Models") from different providers. We act as an intermediary, routing your requests to the respective AI Model providers. We may add or remove AI Models from the Service at our sole discretion.
2. Eligibility
You must be of legal age to form a binding contract to use the Service. By agreeing to these Terms, you represent and warrant that: (a) you have the full legal capacity to enter into these Terms; (b) you have not previously been suspended or removed from the Service; and (c) your registration and use of the Service comply with all applicable laws and regulations. If you are using the Service on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to be bound by these Terms on behalf of that organization.
3. Accounts and Registration
To access the Service, you must register for an account. When you register, you must provide certain information, such as a username, email address, and password. You agree that the information you provide is accurate and that you will keep it up-to-date. You are solely responsible for maintaining the confidentiality of your account credentials and API key(s), and you accept responsibility for all activities that occur under your account. You must immediately notify us at email@ppapi.ai if you believe your account is no longer secure.
4. Fees and Payment
Use of the Service is subject to fees based on your API usage. The specific fee structure, billing cycle, and payment terms will be detailed in a separate settlement agreement or other written agreement executed between you and us (the "Settlement Agreement"). All payments will be conducted offline as stipulated in the Settlement Agreement. You are responsible for all fees incurred under your account, regardless of whether you authorized such charges.
5. User Content
5.1 Input and Output. You may provide input to the Service (e.g., text, prompts, data) ("Input") and receive output generated by the AI Models based on your Input ("Output"). Together, Input and Output are "User Content."
5.2 Ownership. As between you and us, you retain all your rights to your Input. Your rights to the Output are governed by the terms of service of the specific third-party AI Model provider you use to generate the Output. We are not responsible for the content or ownership of the Output.
5.3 Our Role and AI Model Providers. You acknowledge that we transmit your Input to third-party AI Model providers to provide the Service. Some AI Model providers may use your Input and Output for their own purposes, including for training their models. We are not responsible for the data handling practices of these providers. It is your responsibility to review and comply with the terms and privacy policies of the AI Model providers you choose to use through our Service.
5.4 Your Responsibilities. You are solely responsible for your Input and the consequences of providing it. By providing Input, you represent and warrant that:
(a) You are the creator and owner of the Input or have the necessary rights to authorize its use as contemplated by the Service; and
(b) Your Input, and its use, will not: (i) infringe, violate, or misappropriate any third-party right, including copyright, trademark, patent, trade secret, or privacy right; (ii) be defamatory, libelous, or slanderous; or (iii) cause us or any third-party AI Model provider to violate any law or regulation.
6. Prohibited Conduct
By using the Service, you agree not to:
(a) Use the Service for any illegal purpose or in violation of any local, national, or international law;
(b) Violate the terms of service or usage policies of any third-party AI Model provider accessed through our Service;
(c) Interfere with security-related features of the Service, including reverse-engineering any portion of the Service;
(d) Interfere with the operation of the Service or any user's enjoyment of it, including by disseminating any virus or malicious code;
(e) Perform any fraudulent activity, including impersonating any person or entity or accessing any other account without permission; or
(f) Attempt to do any of the acts described in this Section 6, or assist or permit any person in engaging in any of them.
7. Termination
You may terminate your account at any time by contacting us at email@ppapi.ai. If you violate any provision of these Terms, your permission to use the Service will terminate automatically. We may also, in our sole discretion, suspend or terminate your account at any time, for any reason, with or without notice. Upon termination, you remain obligated to pay all outstanding fees incurred prior to termination.
8. Privacy Policy
Please read our Privacy Policy carefully for information relating to our collection, use, storage, and disclosure of your personal information. The Privacy Policy is incorporated by this reference into, and made a part of, these Terms.
9. Modification of these Terms
We reserve the right to modify these Terms at any time. We will post the revised Terms on the Site and update the "Last Updated" date. We will provide you with reasonable advance notice of any material changes. Your continued use of the Service after the revised Terms have become effective indicates that you have read, understood, and agreed to the current version of the Terms.
10. Indemnity
You will defend and indemnify us and our officers, directors, employees, and agents from and against every claim, liability, damage, loss, and expense, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your use of, or alleged use of, the Service; (b) your violation of any portion of these Terms or any applicable law; or (c) your violation of any third-party right.
11. Disclaimers; No Warranties
THE SERVICE IS PROVIDED "AS IS" AND ON AN "AS AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE, OR ANY OUTPUT GENERATED THROUGH THE SERVICE, WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR FREE OF ERRORS OR HARMFUL COMPONENTS. YOU ASSUME ALL RISK FOR ANY DAMAGE THAT MAY RESULT FROM YOUR USE OF THE SERVICE.
12. Limitation of Liability
IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS OR GOODWILL) ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE AMOUNT YOU HAVE PAID TO US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
13. Governing Law and Dispute Resolution
13.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
13.2 Arbitration. Any dispute, controversy, difference, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be Hong Kong. The arbitration shall be conducted in English.
13.3 No Class Actions. YOU AND YOUR COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14. General Terms
These Terms, together with the Privacy Policy and any Settlement Agreement, constitute the entire agreement between you and us. You may not assign these Terms without our prior written consent. We may assign these Terms at any time. The failure to enforce any provision will not be a waiver of it. If any part of these Terms is held to be invalid, the remaining parts will remain in full force and effect.
